Publications, products, content or services referenced herein or on the Site are the exclusive trademarks or servicemarks of JayDouglasVideos. Other product and company names mentioned in the Site may be the trademarks of their respective owners.

YOU AGREE AND UNDERSTAND THAT ORIGINAL VIDEOS ARE NOT ARCHIVED AND KEPT ON FILE PAST (14) FOURTEEN DAYS AFTER THE COMPLETION OF THE PROJECT.  JAYDOUGLASVIDEOS.COM DOES NOT PROVIDE THE SPACE TO ARCHIVE THE ORIGINAL MATERIALS NECESSARY TO PRODUCE YOUR PROJECT.  THEREFORE, YOU MAY PURCHASE ALL THE ORIGINAL MATERIALS USED IN YOUR PROJECT FOR AN ADDITIONAL FEE OF $275. SUCH REQUEST MUST BE MADE WITHIN THE (14) FOURTEEN DAYS AFTER COMPLETION OF THE PROJECT OR THE VIDEO, SOUND, SCRIPT AND GRAPHIC WORKS USED TO PRODUCE YOUR VIDEO PRODUCTION WILL BE DESTROYED. 

YOU AGREE THAT JAY DOUGLAS ALSO HAS THE EXCLUSIVE RIGHT TO PLACE A SMALL NOTICE ON EACH VIDEO PRODUCED THAT INCLUDES THE STATEMENT "INFOMERCIAL BY WWW.JAYDOUGLASVIDEOS.COM" OR OTHER INFORMATION THAT MAKES OTHER POTENTIAL CONSUMERS AWARE THAT THE VIDEO WAS PRODUCED BY JAY DOUGLAS AND THAT SERVICES CAN BE OBTAINED BY VISITING THE WEBSITE INDICATED.

YOU AGREE AND UNDERSTAND THAT THE FIRST REVISION OF THE VIDEO JAY DOUGLAS CREATES IS FREE OF CHARGE.  SUBSEQUENT REVISIONS ARE CHARGED AT $ 275 PER REVISION.  ALL FEES, WHETHER FOR THE ORIGINAL WORK ORDER OR REVISIONS, MUST BE PAID IN ADVANCE BEFORE WORK BEGINS.

FURTHER, YOU AGREE THAT ANY MATERIAL CREATED FOR YOU BY JAY DOUGLAS, JAYDOUGLASVIDEOS OR ITS EMPLOYEES MAYBE BE USED FOR PROMOTIONAL OR DISPLAY PURPOSES WITHOUT LIMITATION TO EDUCATE POTENTIAL CONSUMERS AND TO ADVERTISE THE VIDEO SKILLS AND SERVICES PROVIDED BY JAY DOUGLAS.

LIMITATION OF LIABILITY

IN NO EVENT WILL JayDouglasVideos BE LIABLE FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, OR ANY INFORMATION, OR TRANSACTIONS PROVIDED ON THE SERVICE, OR DOWNLOADED FROM THE SERVICE, OR ANY DELAY OF SUCH INFORMATION OR SERVICE. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.

6.Miscellaneous.

This Agreement shall all be governed and construed in accordance with the laws of USA applicable to agreements made and to be performed in USA. You agree that any legal action or proceeding between JayDouglasVideos and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in USA . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. JayDouglasVideos's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. JayDouglasVideos may assign its rights and duties under this Agreement to any party at any time without notice to you.

Any rights not expressly granted herein are reserved.

Earnings & Income Disclaimer 

ANY EARNINGS OR INCOME STATEMENTS,  OR EARNINGS OR INCOME EXAMPLES, ARE ONLY ESTIMATES OF WHAT WE THINK YOU COULD EARN. THERE IS NO ASSURANCE YOU'LL DO AS WELL. IF YOU RELY UPON OUR FIGURES, YOU MUST ACCEPT THE RISK OF NOT DOING AS WELL.

Affiliate Agreement 

This agreement describes the entire terms and conditions for participation in the JayDouglasVideos Affiliate Program.

In this agreement, the term "Affiliate" refers to you (the applicant).  Wherever the agreement refers to "you" or "your", it means "the Affiliate"; "we" or "our" refers to JayDouglasVideos.

Affiliate Site

The JayDouglasVideos affiliate program will create a unique URL for you when you submit a complete Affiliate Enrolment Form.

Commissions

You will receive 50% of the revenue as a commission from orders placed through your Affiliate link less the charges outlined by PayPal, Clickbank, or any other company used to process affiliate earnings.  For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product ordered. Commissions will only be paid on sales which are made through qualified Affiliate links.

Payment

Affiliates will be paid for the applicable commissions within the framework of each affiliate companies policies.  If any order that generated a referral fee is returned by the customer, or if there are any returned checks or charge-backs, the amount will be deducted from the payment due the affiliate.

Order Fulfilment

JayDouglasVideos will be solely responsible for processing every order placed by a customer on the Affiliate Site.

Customers

Customers who purchase products and services through the Affiliate Program will be deemed to be customers of JayDouglasVideos.  Accordingly, all JayDouglasVideos rules, policies, and operating procedures concerning customer orders and service will apply to those customers.  We may change our policies and operating procedures at any time.  Prices and availability of our products and services may vary from time to time. JayDouglasVideos policies will always determine the price paid by the customer.

Qualification for Commissions

Affiliates must have an active Affiliate link in order to qualify for commissions.  All affiliates acknowledge that they are aware that affiliates MAY NOT order through their own links in order to receive a discount or to earn a commission.  Any such affiliate commissions generated will not be honored.  As a condition of being accepted into the affiliate program, all affiliates agree and acknowledge that any affiliate caught trying to purchase the an item through their own affiliate link will have their affiliate account terminated, and all commissions they earned will be immediately forfeited.

Qualifying Sites

JayDouglasVideos reserves the right not to accept any site into the Affiliate Program based on site content.  Sites that Do Not Qualify for the JayDouglasVideos Affiliate Program include sites which:

Unsolicited Commercial E-mail or SPAM

JayDouglasVideos does not participate or condone mass unsolicited emailing (i.e. spamming), and all Affiliates are expected to adhere to this policy.   Violation of this policy will result in the termination of this contract and immediate dismissal from the JayDouglasVideos Affiliate Program and forfeiture of all commissions due. 

Relationship of Parties

You are independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.  You will have no authority to make or accept any offers or representations on our behalf.  You agree you will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under to this Agreement.

Disclaimers

We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Affiliate Program.  In addition, we make no representation that the operation of our site or the Affiliate links will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Any disputes between the parties to this agreement which involves interpretations of the terms of this agreement shall be submitted to arbitration under the rules of the American Arbitration Association, and the finding of the Arbitrator shall be binding on all parties.  You may not assign this Agreement, by operation of law or otherwise, without our prior written consent.  Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns.  Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

By signing up with PayPal, ClickBank or other payment processor, you acknowledge that you have read this agreement and agree to all its terms and conditions.  You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.

PRIVACY POLICY

This statement governs our privacy policies with respect to those users of the Site ("Visitors") who visit without transacting business and Visitors who register to transact business on the Site and make use of the various services offered by JayDouglasVideos (collectively, "Services") ("Authorized Customers").
